1. Artificial Intelligence Disclaimer

1.1 AI Nature and Limitations

The Services may provide AI-assisted investment research, market analysis, and related content. You acknowledge that you are interacting with an AI system. AI systems are probabilistic and may produce errors, incomplete information, or unexpected outputs.

1.2 No Investment Advice

The Services are provided for informational and research purposes only. We do not provide investment, legal, tax, or financial advice. Nothing in the Services constitutes a recommendation, solicitation, or offer to buy or sell any securities or financial instruments. You are solely responsible for evaluating all outputs and making your own decisions.

1.3 Your Responsibility for Outputs

You are responsible for independently reviewing and verifying any AI output generated through the Services. You assume all risks arising from reliance on outputs, including potential losses or third-party claims.

2. Access and Use

2.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business research purposes.

2.2 Account Registration

You may need an account to use certain features. You agree to provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2.3 Prohibited Conduct

You agree not to misuse the Services or help others do so. Prohibited conduct includes, but is not limited to:

• Reverse engineering, decompiling, disassembling, or attempting to extract source code (except where prohibited by law)
• Scraping, crawling, or harvesting data from the Services using automated means without our written permission
• Accessing or using the Services in a manner that could disable, overload, damage, or impair the Services
• Uploading malicious code, interfering with security features, or attempting unauthorized access
• Impersonating any person or entity, or misrepresenting your affiliation
• Using the Services for unlawful, harmful, fraudulent, or abusive purposes

2.4 Feature Limits and Usage Restrictions

We may impose limits on usage, rate, storage, or feature access. These limits may change over time to maintain system performance and fairness.

3. User Content and AI-Generated Content

3.1 Your Inputs

You may provide prompts, questions, files, or other data to the Services ("Input"). You represent that you have all rights and permissions necessary to provide such Input and that doing so does not violate any laws or third-party rights.

3.2 Outputs

The Services may generate content based on your Input ("Output"). Output may not be unique across users, and we do not guarantee originality or intellectual property protection for any Output.

3.3 Content Ownership

As between you and the Company, you retain ownership of your Input and Output, to the extent permitted by applicable law. We do not claim ownership of your content.

3.4 License to Operate

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and use your Input solely as necessary to provide, secure, maintain, and improve the Services, consistent with our Privacy Policy.

3.5 Third-Party AI Providers

We may use third-party AI providers (such as OpenAI or Google) to process your requests. By using the Services, you consent to the processing of your Input by such providers to generate Output, subject to their applicable terms and policies.

4. Intellectual Property

We and our licensors own all rights, title, and interest in and to the Services, including software, models (to the extent applicable), trademarks, branding, and the overall design and functionality of the platform, except for User content as described above.

5. Security and Compliance

You agree not to attempt to bypass any security measures. We may monitor usage to protect the Services, prevent fraud or abuse, and enforce these Terms. We reserve the right to suspend or restrict accounts that violate these Terms.

6. Termination and Suspension

We may suspend or terminate your access to the Services at any time if you violate these Terms, if required by law, or to protect the Services and other users. You may stop using the Services at any time. Upon termination, your license to access the Services ends immediately.

7. Privacy

Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using the Services, you agree to our Privacy Policy.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE, OR THAT OUTPUTS WILL MEET YOUR EXPECTATIONS.

9. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, or your violation of these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, BUSINESS, REVENUE, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.

11.2 Informal Dispute Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@fundabottom.ai. We will try to resolve disputes in good faith.

11.3 Arbitration (Non-US Users)

If a dispute cannot be resolved informally, and you are not a consumer in the EU/UK (where mandatory consumer protections may apply), the dispute shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules in effect at the time of the notice of arbitration. The seat of arbitration shall be Singapore and the language shall be English.

11.4 Special Provisions for US Users

If you are a US user, you understand that binding arbitration and a class action waiver may apply where permitted by law. If your local law requires specific procedures or prohibits certain waivers, those mandatory rules will apply instead.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on our website and revise the “Last Updated” date. If changes are material, we may provide additional notice (such as via email or an in-product notice). Continued use of the Services after updates become effective constitutes acceptance of the updated Terms.
